Due-diligence checklist
Use this checklist to organize a review, not to certify an opportunity. The right documents and professional work depend on the actual arrangement. A box is not complete merely because a seller supplied a file.

- Parties: reconcile exact legal names, registry identifiers, authority to sign and authorized payment destination.
- Interest: identify precisely what is acquired and the document that creates it.
- Property and land: ask a local professional which records, tenure restrictions and encumbrance checks apply.
- Governance: review votes, management powers, conflicts and rule changes.
- Use: test preferred dates, closures, cancellations and guest rules.
- Costs: examine budget assumptions, reserves, insurance, adjustment powers and defaults.
- Exit: investigate approval rights, restrictions, continuing obligations and a slow-sale scenario.
- Independent advice: allocate legal, tax and any regulated-financial questions to appropriate specialists.
- Decision record: date the versions reviewed, state assumptions and list unresolved issues before signing or paying.
Keep evidence traceable
Record issuer, date, version, independent source and reviewer. Separate operational facts, proposals and projections. Ask for a written explanation where records conflict. No publicly available company record or promotional photograph establishes every item on this list.
